Welcome to The Tag Drop, LLC (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, services, and products (collectively, the “Services”). By visiting our site, uploading artwork, submitting files, or purchasing from us, you agree to these Terms.

1. General Conditions

You must be at least the age of majority in your jurisdiction to use our Services.
You may not use our products or Services for any unlawful or unauthorized purpose.
Our Services are intended primarily for commercial and business use. To the extent permitted by law, consumer protection statutes may not apply.
We reserve the right to refuse service to anyone for any reason at any time.
Prices, specifications, materials, and availability are subject to change without notice.

2. Orders and Payment

All orders must be prepaid in full before production begins.
Quotes are valid for seven (7) days unless otherwise stated.
Payments are processed securely via Shopify Payments, PayPal, or other listed methods.
Once an order has entered production, it cannot be canceled, modified, or refunded.

3. Artwork, Files, and Specifications

3.1 Customer Responsibility

By submitting artwork, graphics, files, purchase orders, tag lists, drawings, or specifications, you confirm that you have the legal right to reproduce them and that they do not infringe upon any third-party intellectual property or proprietary rights.

3.2 Accuracy of Submitted Files

The Tag Drop, LLC produces products exactly as provided or approved by the customer. We are not responsible for typographical errors, incorrect data, low-resolution images, formatting issues, color expectations, or omissions present in submitted or approved materials.

3.3 Proof Approval and Final Authorization

Customer approval of proofs, layouts, or production files constitutes final authorization to proceed with manufacturing. Once approved, all responsibility for accuracy, content, layout, specifications, compliance, and suitability transfers to the customer.

3.4 Use of Customer Files

Customer-submitted files are used solely for order fulfillment and may be shared with trusted U.S.-based trade production partners strictly as necessary to complete the order. We do not sell or distribute customer files for any other purpose.

3.5 Use of Automation and Artificial Intelligence

To efficiently process orders, review documentation, generate layouts, prepare production files, and support customer communication, The Tag Drop, LLC may use automated systems and artificial intelligence tools as part of its internal workflow.

Customer-submitted materials — including drawings, photographs, tag lists, spreadsheets, purchase orders, and specifications — may be processed by such tools solely for the purpose of fulfilling customer requests or providing related services.

Use of automation or AI-assisted tools does not replace customer review, engineering validation, regulatory approval, or final responsibility for accuracy. All specifications, compliance determinations, and content approvals remain the responsibility of the customer.

3.6 AI Training Restrictions & Data Protection

The Tag Drop, LLC expressly prohibits the use of customer-submitted materials for training, improving, or developing public or commercial artificial intelligence or machine learning models.

Any automated or AI-assisted tools used by The Tag Drop, LLC or its vendors are contractually restricted to processing customer materials solely for order fulfillment, internal operational support, and customer-requested services.

To the extent that third-party technology providers process customer materials as part of providing services to The Tag Drop, LLC, such processing is governed by applicable data protection agreements. The Tag Drop, LLC shall not be responsible for unauthorized use of customer materials by third parties beyond its reasonable control, provided such use violates imposed contractual restrictions.

Ownership and intellectual property rights in all customer materials remain with the customer at all times.

3.7 Regulatory, Engineering, and Compliance Disclaimer

The Tag Drop, LLC does not provide engineering, regulatory, safety, legal, or compliance advice. Any references to standards, specifications, durability, or performance characteristics are provided for general informational purposes only.

The customer is solely responsible for determining whether products meet applicable laws, regulations, codes, standards, or project requirements, including but not limited to UL, CSA, ANSI, OSHA, ISO, or MIL specifications.

4. Production and Shipping

Production begins after payment and customer approval of artwork or files.
Orders are manufactured by verified U.S. trade vendors and shipped directly to the customer.
Standard production timelines vary by product and vendor and are estimates only.
Slight variations in color, finish, material thickness, texture, or appearance may occur and do not constitute defects.
Packaging may arrive plain or with vendor branding.
The Tag Drop, LLC is not responsible for carrier delays, transit damage, or delivery interruptions outside our control.

5. Returns, Claims, and Refunds

All products are made to order. Returns are not accepted except for verified manufacturing defects or vendor production errors.

Claims must be submitted within five (5) business days of delivery.
Approved claims will result in a replacement or reprint at our discretion.
Total liability for any claim is limited to the amount paid for the original order.

6. Accuracy of Billing and Account Information

You agree to provide accurate, complete, and current information. We reserve the right to cancel or suspend orders if fraudulent or unauthorized activity is suspected.

7. Intellectual Property

All website content, layouts, text, and branding (excluding customer-submitted materials) are owned or licensed by The Tag Drop, LLC and may not be reused without written permission.

Customer-submitted artwork and data remain the property of the customer. A limited, non-exclusive license is granted solely for order fulfillment.

8. Disclaimer of Warranties

All products and Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, The Tag Drop, LLC shall not be liable for indirect, incidental, special, or consequential damages. Total liability shall not exceed the amount paid for the applicable order.

10. Indemnification

You agree to indemnify, defend, and hold harmless The Tag Drop, LLC, its officers, employees, contractors, and vendors from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from:

Customer-provided artwork, files, instructions, specifications, or data
Alleged infringement of intellectual property or proprietary rights
Use or misuse of the finished products
Failure of products to meet customer-required standards or regulations

11. Force Majeure

The Tag Drop, LLC shall not be liable for delays or failure to perform due to events beyond its reasonable control, including acts of God, natural disasters, labor disputes, supply chain disruptions, governmental actions, or carrier failures.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.

13. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms constitute the entire agreement between you and The Tag Drop, LLC regarding the Services and supersede all prior communications or agreements.

15. Changes to Terms

We may update these Terms at any time. Continued use of our Services constitutes acceptance of the updated Terms.
